Welcome to the Wurl platform including the wurl.com website, the Wurl mobile application, Wurl applications and services on Facebook and all related indexing and data management services (this “Platform”). These Terms of Use (“TOU”) govern your access to and use of the Platform and any services provided through the Platform (the “Service”). By accessing or using this Platform or Service, you agree to be bound by these TOU and our Privacy Policy, which is incorporated herein by reference. If you do not agree to be bound by the terms and conditions of these TOU, do not use or access the Platform or Service. If you are using this Platform or Service on behalf of another party (such as your employer), you represent and warrant that you have the authority to do so and to accept these TOU on their behalf.

Modification of TOU

Wurl reserves the right to (i) modify, discontinue or terminate the Platform and Service, or (ii) modify these TOU or any related terms and conditions governing your use of the Platform and Service at any time without advance notice. If we modify these TOU, we will give notice to all registered Wurl users of the new terms and all modified terms and conditions will be effective after they are initially posted on the Platform (unless a longer notice period is required by applicable law). If any modified terms and conditions are not acceptable to you, your only recourse is to cease using the Platform and Service, and if applicable, cancel your account with us. Your use of the Platform or the Service after we have provided such notice will represent your acceptance of the revised TOU.

Wurl Service

Wurl, as part of its Service, makes available a searchable index of thousands of public video Feeds, which users may search and to which they may subscribe or “Follow”. A “Feed” is a collection or series of videos that are made available by a single publisher. Subscribers may also add to the Wurl inventory of video Feeds. You agree that Wurl has no responsibility or liability for any message or other communication or content maintained or transmitted via the Platform or the Service.

The Platform makes video Feeds available and consequently contains links to third-party websites and resources, which provide access to content and services from third parties. You agree that Wurl is not responsible or liable for the: (i) availability or accuracy of, such websites or resources; or (ii) content, and in particular video content, or services, on or available from such websites or resources, and you assume sole responsibility for, and all risk arising from, access to such content and services. Wurl does not endorse or recommend any such third party content or services, nor is it affiliated with the provider of such third party content and services, including, without limitation, the video Feeds made available via the Platform and Service. Your access to and use of the Platform and Service is at your own risk. Wurl is not responsible or liable for any harm to your computer system, loss of data or any other harm that results from your access to, or use of, the Platform or Service.

Copyright Policy

Wurl respects the intellectual property rights of others and expects its users to do the same. Unauthorized copying, modification, distribution, public display or public performance of a copyrighted work is an infringement of the copyright holder’s rights. You acknowledge that Wurl will terminate the account of any user who uses the Platform or the Service repeatedly to infringe the intellectual property rights of others.

Your Conduct

As a condition to your access and/or use of the Platform or Service, you agree not to:

  1. Upload, post, email, transmit, link to, or otherwise make available any information, materials or other content that is infringing, illegal, harmful, threatening, abusive, harassing, defamatory, obscene, pornographic, invades another’s privacy, or promotes bigotry, racism, hatred for or harm against any individual or group;
  2. Impersonate any person or entity or falsely state or otherwise misrepresent your affiliation with a person or entity;
  3. Forge headers or otherwise manipulate identifiers to disguise the origin of any content transmitted through the Service;
  4. Upload, post, email, transmit, link to, or otherwise make available any information, materials or other content that infringes another’s rights, including any copyrights or other intellectual property rights;
  5. Upload, post, email, transmit, link to, or otherwise make available any material that contains software viruses or any other computer code, files or programs designed to interrupt, destroy or limit the functionality of any computer software or hardware or telecommunications equipment;
  6. Use any manual or automated software, devices, or other processes to “crawl,” “spider” or “screen scrape” any web pages contained on this Platform other than solely for purposes of use in an information-location tool or search service such as Google, Yahoo or MSN Search;
  7. Reverse engineer, decompile or disassemble any of the software used to provide this Platform or Service, or attempt to access anything proprietary to Wurl, including, without limitation any Wurl taxonomy of RSS feeds;
  8. Interfere with or disrupt this Platform or Service, or any servers or networks connected thereto, or disobey any requirements, procedures, policies or regulations of networks connected thereto; or
  9. Obtain, collect, store or modify the personal information about other users.

Enforcement

Wurl reserves the right to investigate and prosecute violations of any of the above to the fullest extent of the law. Wurl may involve and coöperate with law enforcement authorities in prosecuting users who violate these TOU. You acknowledge that Wurl has no obligation to pre-screen or monitor your access and/or use of its Platform or Service, but has the right to do so for the purpose of operating this Platform or Service to ensure your compliance with these TOU, or to comply with applicable law or the order or requirement of a court, administrative agency or other government body. You hereby agree that Wurl may, in the exercise of Wurl’s sole discretion, remove or delete any content or portions thereof that violate these TOU or that is otherwise objectionable.

Ownership

Wurl and its licensors own all right, title and interest in and to this Platform and Service. Copyright, trademark, and other laws of both the United States and foreign countries protect this Platform and Service. Except as expressly permitted in the TOU, you may not reproduce, modify or prepare derivative works based on, distribute, sell, transfer, publicly display, publicly perform, transmit, or otherwise use this Platform or the Service, or any portion thereof. You may not use this Platform or the Service on or in connection with any other web site for any purpose.

Trademarks

Wurl, the Wurl logo and all other Wurl trademarks, service marks, product names, and trade names of Wurl appearing on or in conjunction with the Platform or Service are owned by Wurl. All other trademarks, service marks, product names, and logos appearing on this Platform are the property of their respective owners. You may not use or display any trademark, service mark, product name, trade name or logo appearing on this Platform without the owner’s prior written consent.

Disclaimer of Warranties

THE SITE, SERVICE AND ANY CONTENT THEREON OR MADE AVAILABLE THEREFROM ARE PROVIDED “AS IS.” WURL MAKES NO WARRANTY OR REPRESENTATION OF ANY KIND, EXPRESS OR IMPLIED, AS TO THE OPERATION OF THIS SITE OR SERVICE OR THE QUALITY, ACCURACY, TIMELINESS, TRUTHFULNESS, COMPLETENESS OR RELIABILITY OF ANY INFORMATION, MATERIALS OR CONTENT DOWNLOADED, LINKED TO, OR OTHERWISE OBTAINED THROUGH THIS SITE OR SERVICE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WURL DISCLAIMS ALL WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. WURL MAKES NO WARRANTY THAT THE SITE OR SERVICE WILL MEET YOUR REQUIREMENTS OR WILL BE AVAILABLE ON AN UNINTERRUPTED, SECURE OR ERROR-FREE BASIS. YOU AGREE THAT YOUR ACCESS OR USE OF THE SITE AND SERVICE IS AT YOUR OWN RISK.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER WURL NOR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR SERVICE WILL BE LIABLE FOR ANY INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES RESULTING FROM YOUR ACCESS TO AND/OR USE OF, OR INABILITY TO ACCESS OR USE, THE SITE OR SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE) OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WURL HAS BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE, EVEN IF A REMEDY SET FORTH HEREIN IS FOUND TO HAVE FAILED OF ITS ESSENTIAL PURPOSE. YOU SPECIFICALLY ACKNOWLEDGE THAT WURL IS NOT LIABLE FOR THE DEFAMATORY, OFFENSIVE OR ILLEGAL CONDUCT OF OTHER USERS OR THIRD PARTIES AND THAT THE RISK OF INJURY OF THE FOREGOING RESTS ENTIRELY WITH YOU. FURTHER, WURL WILL HAVE NO LIABILITY TO YOU OR TO ANY THIRD PARTY FOR ANY CONTENT LINKED OR ACCESSED TO THROUGH THE SITE OR THROUGH THE SERVICE. YOU AGREE THAT THE AGGREGATE LIABILITY OF WURL TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SITE OR SERVICE IS LIMITED TO $1000.00. THE LIMITATIONS OF DAMAGES SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN WURL AND YOU.

Indemnity

You agree to defend, indemnify, and hold Wurl, its officers, directors, employees and agents harmless from and against any claims, liabilities, damages, losses, and expenses, including, but not limited to, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Platform or Services, or your violation of these TOU or Wurl’s Copyright Policy.

Relationship of the Parties

You and Wurl are independent contractors, and nothing in these TOU will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between us. You will have no authority to make or accept any offers or representations on our behalf.

General

In the event that any provision in these TOU is held to be invalid or unenforceable, the unenforceable part will be given effect to the greatest extent permitted by law and the remaining provisions will remain in full force and effect to the maximum extent permitted by law. The failure of a party to enforce any right or provision of these TOU will not be deemed a waiver of such right or provision.  You may not assign or transfer these TOU (by operation of law or otherwise) without the prior written consent of Wurl and any prohibited assignment will be null and void. Wurl may assign these TOU or any rights hereunder without your consent. These TOU will be governed by and interpreted in accordance with the laws of the State of California excluding that body of law pertaining to conflict of laws.  Any legal action or proceeding arising under these TOU will be brought exclusively in courts located in Santa Clara County, California and the parties hereby irrevocably consent to the personal jurisdiction and venue therein. You agree that these TOU and the rules, restrictions and policies contained herein, and Wurl’s enforcement thereof, are not intended to confer and do not confer any rights or remedies upon any person other than you and Wurl.  These TOU together with the rules and policies of Wurl incorporated herein by reference constitute the entire agreement between Wurl and you with respect to the subject matter of these TOU and supersede and replace any prior agreements between Wurl and you regarding the Platform and Service.

Wurl Privacy Policy

Wurl provides this Privacy Policy to inform you of our policies and procedures regarding the collection, use and disclosure of information received from users of including the wurl.com website, the Wurl mobile application, Wurl applications and services on Facebook and all related indexing and data management services (this “Platform”). This Privacy Policy applies only to this Platform and is incorporated into our Terms of Use. This Privacy Policy may be updated from time to time. We will notify you of any material changes by posting the new Privacy Policy on the wurl.com website. You are advised to consult this policy regularly for any changes.

By using our Platform you are consenting to our processing of your information as set forth in this Privacy Policy. As used in this policy, the terms “using” and “processing” information include using cookies on a computer, subjecting the information to statistical or other analysis and using or handling information in any way, including, but not limited to collecting, storing, evaluating, modifying, deleting, using, combining, disclosing and transferring information within our organization or among our affiliates within the United States or internationally.

Information Collection and Use

Our Primary goals in collecting information are: to provide and improve services, features and content (together, the “Service”), to allow users to personalize their use of the Service and to enable users to easily navigate and enjoy the Platform.

Personally Identifiable Information.

  • We don’t collect any personally identifiable information from users of the Wurl mobile application. Users of the Add Feed Wizard on the wurl.com website and users of the Wurl Facebook Post Helper provide us with personally identifiable information that may include your email address and other information that you have provided to Facebook(“Personal Information”). Personal Information is information about you that when on its own or in combination with other identifiers can be used to contact or identify you. We use your Personal Information to provide the Service and administer your inquiries.
  • We may also use your Personal Information to contact you with news and information Wurl that may be of interest to you. Where you agree to the terms and conditions of the Terms of Use you may be given the opportunity to opt-in to the receipt of such information from us in the future. If you decide at any time that you no longer wish to receive such information from us, you may follow the unsubscribe instructions provided in the communication.

Log Data.

When you visit the Platform(a “Wurl User”), our servers automatically record information that your browser or mobile device sends (“Log Data”). When you visit the Wurl.com website or our Facebook apps, this log data may include information such as your IP address, browser type or the domain from which you are visiting. When you use the Wurl mobile app, this data may include a unique numeric code that identifies your mobile device. For most users accessing the Internet from an Internet service provider, the IP address will be different every time you log on. We do not use this information to identify you personally. We use your IP address and mobile device identifier to monitor use of the Platform and the Service and for the Platform’s technical administration.

Cookies

Like many websites, we use “cookies” to collect information. A cookie is a small data file that we transfer to your computer’s hard disk for record-keeping purposes. If you provide your mobile phone number in order to initiate “following” a video Feed from your mobile phone, we use cookies to save your phone number to make future interactions with our following process simpler. We do not store your phone number anywhere except on your computer nor do we use your phone number for any purpose other than initiating Following. You can instruct your browser, by editing its options, to stop accepting cookies or to prompt you before accepting a cookie from the websites you visit. If you do not accept cookies, however, you may not be able to use all functionality of the Service.

Information Sharing and Disclosure

Compliance with Laws and Law Enforcement.

Wurl cooperates with government and law enforcement officials or private parties to enforce and comply with the law. We may disclose any information about you to government or law enforcement officials or private parties as we, in our sole discretion, believe necessary or appropriate to respond to claims and legal process (including subpoenas), to protect the property and rights of Wurl or a third party, to protect the safety of the public or any person, or to prevent or stop any illegal, unethical or legally actionable activity.

Business Transfers.

Wurl may sell, transfer or otherwise share some or all of its assets, including information provided by you, in connection with a merger, reorganization, or sale of assets, or in the event of bankruptcy. If the new entity wishes to make additional uses of your information different from those described in this Privacy Policy you will have the opportunity to decline such use at that time.

Security & International Transfer

Wurl is very concerned with safeguarding your information. We employ administrative, physical and electronic measures designed to protect your information from unauthorized access. Your information may be transferred to — and maintained on — computers located outside of your state, province, country or other governmental jurisdiction where the privacy laws may not be as protective as those in your jurisdiction. Wurl transfers Personal Information to the United States and maintains it there.

Links to Other Platforms

Our Platform contains links to other websites. The fact that we link to a third party website or present a third party banner add or other type of advertisement is not an endorsement, authorization or representation of our affiliation with that third party. We do not exercise control over third party websites. These other websites may place their own cookies or other files on your computer, collect data or solicit personal information from you. This Privacy Policy addresses the use and disclosure of information that we collect from you through this Platform. Other sites follow different rules regarding the use or disclosure of the personal information you submit to them. We encourage you to read the privacy policies or statements of the other websites you visit.

Our Policy Toward Children

This Platform is not directed to persons under 18. If a parent or guardian becomes aware that his or her child has provided us with Personal Information without their consent, he or she should contact us at info@wurl.com. If we become aware that a child under 13 has provided us with Personal Information, we will delete such information from our files.

Wurl Copyright Policy

Wurl respects copyright law and expects you to do the same. Unauthorized copying, distribution, modification, public display, or public performance of copyrighted works is an infringement of the copyright holders’ rights. As a condition to your account with or usage of Wurl, you agree that you will not use the Wurl service to infringe the intellectual property rights of others. Wurl will terminate your account if you do so. In addition, Wurl reserves the right to terminate your account if Wurl believes that your use of your account is harmful to the interests of Wurl, its affiliates, or other users, or for any other reason in Wurl’s sole discretion, with or without cause.
In accordance with the Digital Millennium Copyright Act of 1998, the text of which may be found on the U.S. Copyright Office web site at , Wurl will respond expeditiously to claims of copyright infringement committed using the Wurl service that are reported to Wurl’s Designated Copyright Agent identified below.
